01Acceptance of Terms

By accessing or using the Softryx website (softryx.com) or engaging Softryx for services, you confirm that you have read, understood, and agree to these Terms of Service. If you do not agree, please do not use our website or services.

02Our Services

Softryx provides custom software development services, including web and mobile application development, real estate platforms, e-commerce solutions, custom dashboards, API development, cloud solutions, DevOps, and AI/ML integration.

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written agreement, statement of work, or proposal between Softryx and the client. In the event of a conflict, the terms of that agreement take precedence over these general terms.

03Quotes & Consultations

Initial consultations are provided free of charge. Quotes and estimates are valid for 30 days from the date of issue unless otherwise stated, and are based on the information available at the time. Material changes to project scope may require a revised quote.

04Payments

Payment terms, schedules, and accepted methods are set out in each project agreement. Unless otherwise agreed in writing:

• Invoices are due within the period stated on the invoice.
• Work may be paused on accounts with overdue balances.
• Deposits and milestone payments for work already performed are non-refundable.

05Intellectual Property

Upon full payment of all applicable fees, the client receives ownership of the custom deliverables created specifically for their project, unless otherwise agreed in writing.

Softryx retains ownership of pre-existing tools, libraries, frameworks, and know-how used in delivering the services, and grants the client a perpetual, non-exclusive license to use them as part of the deliverables. All content on this website — including text, graphics, logos, and design — is the property of Softryx and may not be reproduced without permission.

06Client Responsibilities

• Provide accurate, complete, and timely information, content, and feedback needed for the project.
• Ensure you have the rights to any materials (content, branding, data) you provide to us.
• Use our website and deliverables in compliance with applicable laws.
• Maintain the confidentiality of any credentials we provide to you.

07Acceptable Use

You agree not to misuse our website — including attempting to gain unauthorized access to our systems, interfering with site operation, scraping content at scale, transmitting malware, or using the site for any unlawful purpose.

08Warranties & Disclaimers

We perform all services with professional skill and care consistent with industry standards. Except as expressly stated in a project agreement, our website and services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

09Limitation of Liability

To the maximum extent permitted by law, Softryx will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of our website or services.

Our total aggregate liability for any claim arising out of an engagement is limited to the amount paid by the client to Softryx for the services giving rise to the claim in the twelve (12) months preceding the event.

10Indemnification

You agree to indemnify and hold harmless Softryx, its officers, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these terms or your misuse of our website or services.

11Termination

Either party may terminate a service engagement in accordance with the applicable project agreement. We may suspend or terminate access to our website at any time for conduct that violates these terms. Sections relating to intellectual property, payment, liability, and indemnification survive termination.

12Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

13Changes to These Terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the website after changes take effect constitutes acceptance of the updated terms.
